Terms of Service

The terms governing access to and use of the Khypri AI Platform.

Effective date and version: September 20, 2026 (Version 3.0). These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Khypri AI governing your access to and use of the Platform. This is the English original; in the event of any conflict or inconsistency between a translation and this English version, this English version shall prevail. The Terms shall be read together with the Privacy Policy, the Notice to Data Principal and the Safety Policy.

By registering an Account, or by accessing or using the Platform, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, you shall not register an Account or use the Platform.

1. Definitions and Interpretation

1.1 In these Terms, unless the context otherwise requires:

  1. “Khypri”, “the Company”, “we” and “us” mean Khypri AI;
  2. “Platform” means the Khypri AI websites, applications, application programming interfaces and related services;
  3. “Account” means the account registered on the Platform by an Account Holder, and includes every Student profile created under it;
  4. “Account Holder” or “you” means the adult parent or legal guardian who registers an Account;
  5. “Student” means a child whose profile is created and managed by the Account Holder under the Account; and
  6. “AI Output” and “User Content” have the meanings given in Sections 6.2 and 6.1 respectively.

1.2 A reference to a statute includes that statute as amended, re-enacted or replaced from time to time. Headings are for convenience only and shall not affect interpretation. The words “including” and “includes” shall be read without limitation.

2. Eligibility and Account Integrity

2.1 Who may register

2.1.1 You shall be at least eighteen (18) years of age (or the age of majority in the place where you reside, if higher) and competent to enter into a binding contract. Only a parent or legal guardian may register an Account. A child shall not create an Account, and every Student profile shall be created and managed by the Account Holder. The manner in which the consent of a parent or guardian is verified and recorded is described in the Verifiable Parental Consent Policy.

2.1.2 On registration you confirm that you are an adult, and the Company may carry out an age check on your own device (see the Privacy Policy). Where you register on behalf of a Student, you represent and warrant that you are that child's parent or legal guardian.

2.2 Accurate information

2.2.1 You shall provide accurate information on registration and keep it up to date. You shall not impersonate another person or register using details intended to deceive.

2.3 Account security

2.3.1 You shall keep your login details secure and shall not share your Account. You are responsible for all activity under your Account and shall notify the Company promptly at support@khypri.com if you suspect that it has been compromised.

2.4 Service messages

2.4.1 By creating an Account you consent to the Company sending you, by email and WhatsApp, the messages necessary to operate the Account and to keep your child safe, namely account, security and payment alerts, plan-expiry and balance notices, and critical child-safety alerts. This is the required “Essential alerts” consent.

2.4.2 Promotional messages, and progress updates and weekly summaries concerning your child, shall be sent only if you opt in, and you may switch them off at any time in your account settings (see Section 12 of the Privacy Policy and the Communications Policy).

3. AI Output Notices and Assumption of Risk

3.0 The Platform uses generative artificial intelligence, which may produce content that is inaccurate, incomplete, out of date or unintentionally biased, and which may present false information with apparent confidence. AI Output is provided “as is” and “as available”. The use of artificial intelligence in the Platform is described further in the Responsible AI & AI Usage Policy.

3.1 Assumption of risk

3.1.1 AI Output is a study aid and is not a substitute for a teacher or for official course material, and use of the Platform does not guarantee any examination result. You shall verify anything of importance against a reliable source before relying on it. Reliance on AI Output for a decision of consequence, including a graded assessment, admission or placement, without independent human verification is at your own risk.

3.2 Reporting problems

3.2.1 If you encounter content that appears unsafe, inaccurate or inappropriate, you should report it within the Platform or at support@khypri.com so that the Company may review it.

3.3 Safety alerts

3.3.1 The Platform automatically checks a Student's conversations with the AI tutor for indications of serious risk to the Student's safety or wellbeing and, on detecting one, alerts the Account Holder by WhatsApp and email (as described in Section 4.3 of the Privacy Policy and in the Safety Policy).

3.3.2 These alerts are an additional safeguard only. Detection is not perfect, the Company cannot guarantee that every concern will be identified, and the Platform is not an emergency service. Parents and guardians remain responsible for the supervision of their children and, in an emergency, shall contact their local emergency number.

4. Licence of Use

4.1 Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable and revocable licence to use the Platform, and the AI Output generated for you, for your own family's personal educational use.

4.2 You shall not, without a separate written agreement with the Company, use the Platform or AI Output in a commercial coaching centre, for resale or other paid tutoring, or to build a competing product. Section 6.2 governs what you may do with AI Output.

5. Prohibited Conduct

5.1 You shall not, and shall not assist any other person to:

  1. reverse-engineer the Platform, or attempt to extract its system prompts, models or underlying code;
  2. use scrapers, bots or other automated means to download question banks or other content in bulk;
  3. use AI Output to train or evaluate other machine-learning models, or to build a competing educational product;
  4. use the Platform to generate malware, or hateful, unlawful or sexually explicit material, including through adversarial prompting;
  5. bypass or interfere with the Company's safety systems, age checks, access controls or security;
  6. share your login details or use another person's Account; or
  7. otherwise use the Platform in a manner that contravenes any law or harms other users.

5.2 Any breach of this Section 5 may result in suspension or termination of your access as provided in Section 19. The conduct expected of users is described further in the Acceptable Use Policy.

6. Intellectual Property & Copyright Alignment

6.0 The Company retains all right, title and interest in the underlying software, design and branding of the Platform. Where you provide feedback or suggestions, you grant the Company a broad, perpetual licence to use that feedback to improve the Platform without compensation. Watermarked or Platform-branded content remains protected under applicable Indian copyright law.

6.1 User Content licence

6.1.1 You retain ownership of the prompts, answers and other data that you submit to the Platform (“User Content”). By submitting User Content you grant the Company a licence to store, process and use it solely to operate, provide and improve the academic features of the Platform for you.

6.2 AI Output

6.2.1 The Company retains ownership of AI Output, being generated examination papers, multiple-choice questions, evaluations and similar content (“AI Output”). You are granted a licence to use AI Output generated for you for your own personal family educational purposes. AI Output shall not be resold, redistributed, or used to build a competing product or dataset.

6.3 Copyright Act, 1957 & Fair Dealing

6.3.1 Pursuant to Section 52(1)(a) of the Copyright Act, 1957, personal use of generated practice materials for private study and research constitutes fair dealing. System logos, trademarks, and custom AI character identities (including Olli) are proprietary assets protected under the Copyright Act, 1957 and the Trade Marks Act, 1999; automated data scraping or extraction of these assets is strictly prohibited.

7. Payments, Billing & RBI E-Mandate Framework

7.1 All payments, including recurring subscription charges, are processed exclusively through Razorpay under the Reserve Bank of India's e-mandate (recurring payments) framework. Accordingly: (a) your recurring payment mandate is registered with an additional factor of authentication at set-up; (b) you will receive a pre-debit notification at least twenty-four (24) hours before each renewal charge, through which you may cancel that charge; (c) each mandate carries a fixed amount cap corresponding to your selected plan; and (d) you may cancel the mandate at any time as provided in Section 7.3. The Company does not store your card details and does not charge you outside this mandate framework.

7.2 Paid subscriptions are billed in advance and renew automatically unless cancelled before the next renewal date. At checkout you may choose either a one-time (non-recurring) purchase or a recurring subscription. The management of Khypri AI and its owners reserve the right, in their sole discretion, to change the prices of any plan at any time, with or without prior notice. A price change takes effect from your next billing cycle onward and does not alter the amount already charged for a cycle that has begun; where you do not wish to continue at a changed price, you may cancel auto-renewal at any time as provided in Section 7.3. Applicable taxes, including GST, are charged in addition to listed prices.

7.3 Cancellation

7.3.1 You may cancel auto-renewal at any time from your profile in the Platform (choosing a reason and confirming by typing your registered email address), through the cancellation link in any pre-debit notification, or by emailing support@khypri.com (which the Company shall process within two (2) business days of receipt). Cancellation stops future billing but does not entitle you to a refund of amounts already charged, subject to Section 8.

7.3.2 Every cancellation is placed under review for a refund in accordance with Section 8, and the Company shall tell you so at the time and shall email you the outcome. Deletion of your Account under Section 19 also cancels any active subscription and stops future billing. A subscription so cancelled is not reinstated if the Account is restored during the cooling-off period.

7.4 Payment and Settlement Systems Act, 2007. Digital subscription payments and recurring debit mandates adhere to regulatory guidelines issued by the Reserve Bank of India (RBI) under the Payment and Settlement Systems Act, 2007, ensuring card tokenization and zero local server card storage.

7.5 Fair Use, AI Usage Quotas & Platform Rate Limits

7.5.1 AXIS AI Subjective Answer Sheet Evaluation Quota: Subjective handwritten answer sheet evaluation via the AXIS AI multimodal evaluation engine is subject to fair use limits to maintain system integrity, server capacity, and equitable service access across all users:
(a) Free Tier: Limited strictly to exactly one (1) handwritten answer sheet evaluation per Account across its entire lifetime. Creation of duplicate, secondary, or alias accounts to obtain additional free evaluations is strictly prohibited under Section 3.4 of the Acceptable Use Policy.
(b) Paid Subscriptions (Monthly and Yearly): Subject to a fair use rate limit of a maximum of ten (10) handwritten answer sheet evaluations per rolling thirty (30) consecutive calendar day period per Account. This quota is a combined aggregate shared across all student profiles registered under that Account, and does not multiply with the number of enrolled children.
(c) Non-Cumulative Monthly Allocation on Yearly Plans: For Yearly Subscriptions, the ten (10) evaluation allocation refreshes every rolling thirty (30) days from subscription commencement. Unused evaluations within any thirty (30) day window lapse automatically and do not accumulate, roll over, or convert into monetary refunds or credits, nor may the full annual aggregate be drawn in advance.
(d) Submission Legibility & Consumption Telemetry: An evaluation quota credit is deemed consumed immediately upon the initiation and generation of an evaluation analysis by the AXIS AI engine. Submissions must consist of clear, upright, well-lit, and legible student answer papers. The Company shall not be liable for degraded AI outputs resulting from illegible handwriting, distorted images, missing questions, or poor camera resolution, and such outcomes do not entitle the Account Holder to a quota restoration or refund under Section 8.

7.5.2 Olli AI Tutor Rate Limits: Interactive academic conversations with the Olli Socratic tutoring assistant are protected by automated burst and velocity thresholds: (a) Burst Limit: Up to a maximum of ten (10) prompt queries per minute; (b) Hourly Velocity Limit: Up to a maximum of two hundred and fifty (250) prompt queries per rolling sixty (60) minute hour. All interactions deduct usage from the Account's active token balance.

7.5.3 Lumi Interactive MCQ Practice Limits: Dynamic multiple-choice question generation and diagnostics via Lumi are subject to an hourly fair-use rate limit of up to two hundred and fifty (250) test marks per rolling sixty (60) minute hour, drawing against the Account's active token allocation.

7.5.4 AXIS Exam Paper Generation Velocity Limits: Automated generation of comprehensive Board Mock Examination papers via AXIS is subject to a daily ceiling of five hundred (500) total exam marks per rolling twenty-four (24) hour window per Account.

7.5.5 Account Token Balances, Expiry & Zero Cash Value: In addition to velocity rate limits, overall Platform AI usage across Olli, Lumi, and AXIS is governed by the Account's subscription coin/token balance: (a) Free Tier: 50,000 tokens valid for seven (7) days; (b) Monthly Subscription: 500,000 tokens per thirty (30) day billing cycle; (c) Yearly Subscription: 5,500,000 tokens per three hundred and sixty-five (365) day billing cycle. Tokens and coins represent non-monetary digital feature units, have zero cash surrender value, are non-transferable, and cannot be redeemed for legal tender. Token balances replenish upon successful subscription renewal and forfeit immediately upon subscription expiry, cancellation, or account termination.

7.5.6 Operational Right to Throttle & System Telemetry: The Company reserves the operational right, in its sole discretion and without liability, to adjust velocity thresholds, burst windows, or concurrent query allocations during periods of heavy server load, technical maintenance, infrastructure stress, or upstream AI provider latency. Automated throttling to prevent system denial of service or abuse is an inherent protective measure and shall not constitute a deficiency of service, service outage, or breach of contract under the Consumer Protection Act, 2019.

8. Cancellation and Refund Policy

8.1 You may cancel your subscription at any time as provided in Section 7.3, which stops future billing. A service, once purchased, is not eligible for a refund.

8.2 The right to grant or refuse a refund, in whole or in part, rests solely with Khypri AI and its organisation (the Company), and each request shall be decided on the facts of the individual case. Where a genuine issue with the service is raised, including a service deficiency, a material misrepresentation of what was offered, or an extended outage, the Company shall consider the request, which includes an inspection of actual service usage and of the tokens or credits consumed on the Account. Where the Company elects to grant a refund, the amount shall be determined by the Company in that case, by reference to the unused portion of the subscription and the usage already consumed, and shall not be an automatic full refund.

8.3 The Company’s decision on a refund request, and on the amount, shall be final and binding on the Account Holder in that case, and a decision in one case shall not create any entitlement or precedent in any other case. This Section is without prejudice to any right of a consumer under the Consumer Protection Act, 2019 or other applicable law that cannot be excluded. A refund request shall be sent to support@khypri.com with your account details and the reason for the request, or made from the profile when cancelling; the Company aims to respond within five (5) business days. Any dispute arising from a refund decision is subject to Section 17 (Governing Law) and Section 18 (Dispute Resolution). The cancellation and refund procedure is described further in the Refund and Cancellation Policy.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, Khypri AI shall not be liable for any indirect, incidental or consequential damages arising from use of the Platform.

9.2 The total liability of the Company in respect of any claim shall not exceed the greater of Indian Rupees five thousand (₹5,000) and the amount paid by you to the Company in the three (3) months preceding the claim.

9.3 Nothing in these Terms limits or excludes liability arising from gross negligence, wilful misconduct, fraud, or death or personal injury, or any liability that cannot be limited or excluded under applicable law.

10. Indemnification

10.1 You shall indemnify Khypri AI against claims arising from your breach of these Terms, from content that you submit, or from violations committed through your Account by a minor in your care.

10.2 Direct-to-Consumer Scope: Khypri AI operates strictly and exclusively as a direct-to-consumer service for individual Account Holders and families. The Company does not offer institutional accounts, enterprise licensing, or school contracts.

11. Children's Data and Privacy

11.1 The processing of the personal data of children and students is described in the Privacy Policy and the Safety Policy, which explain how the Company handles that data in accordance with India's Digital Personal Data Protection Act, 2023, the General Data Protection Regulation and the Children's Online Privacy Protection Act.

11.2 The Company does not use student inputs to train models outside the Platform and does not run targeted advertising toward minors.

12. Beta Services and Force Majeure

12.1 Features designated “beta” or “early access” are provided without service-level commitment and may be changed or discontinued at any time.

12.2 Neither party shall be liable for any delay or failure in performance caused by events beyond its reasonable control.

13. Service Availability

13.1 The Company aims to keep the Platform available and performant but does not warrant that it will be uninterrupted, error-free or available at all times. Scheduled maintenance, failures of third-party infrastructure or unforeseen technical faults may cause temporary unavailability.

13.2 Except as provided in Section 8, such interruptions do not entitle you to a refund, credit or damages.

14. Third-Party Links and Services

14.1 The Platform may refer or link to third-party websites, tools or services which the Company does not control and for which it is not responsible, including the Sub-Processors described in the Privacy Policy. Your use of any third-party website or service is subject to that third party's own terms and policies, and the Company disclaims liability for their content, availability and practices.

15. Export Control and International Use

15.1 The Platform is administered from India and may be subject to Indian export-control and sanctions laws. You represent that you are not located in, or resident of, any country or region subject to a comprehensive embargo under Indian or applicable international law, and that you are not on any restricted or denied-party list. You are responsible for compliance with any local laws applicable to your use of the Platform in your jurisdiction.

16. Copyright Complaints

16.1 A person who believes that content on the Platform infringes their copyright may send a written notice to support@khypri.com identifying the copyrighted work, the allegedly infringing material and its location on the Platform, the complainant's contact details, and a statement that the complainant has a good-faith belief that the use is unauthorised. The Company shall review valid notices and take appropriate action, which may include removal of, or disabling access to, the material. The Accounts of repeat infringers may be terminated.

17. Governing Law

17.1 These Terms are governed by the laws of India. Subject to Section 18, including its provisions preserving statutory rights, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute not resolved by mediation or arbitration.

18. Dispute Resolution

18.1 Before filing any claim, each party shall attempt in good faith to resolve the dispute by mediation. Where mediation does not resolve the dispute, it shall be finally settled by binding arbitration seated at Bengaluru under the Arbitration and Conciliation Act, 1996. Each party waives the right to bring claims as part of a class action.

18.2 Consumers in India. Nothing in this Section 18 prevents or limits your right to file a complaint before the District, State or National Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, or any other consumer forum having jurisdiction. Consumer disputes in India are not generally required to be referred to arbitration, and this arbitration clause does not oust or override that statutory right; you may approach a consumer forum instead of, or in addition to, the mediation and arbitration process above.

18.3 Consumers in the European Union and United Kingdom. Where you are a consumer located in the European Union, the United Kingdom or another jurisdiction that grants you non-waivable rights to bring claims before your local courts or a local regulator, nothing in this Section limits those statutory rights, and the arbitration clause applies only to the extent permitted by your local law.

18.4 Consumers in the United States. Either party may instead bring an individual claim in small claims court, in lieu of arbitration, for claims that qualify for that court's jurisdiction. Where you are a consumer in California, nothing in this Section waives your right to seek public injunctive relief in court, to the extent such a waiver is unenforceable under applicable California law.

18.5 Consumers in Canada. Where you are a consumer in Canada (including Quebec and Ontario), nothing in this Section requires you to arbitrate a dispute or waives your right to participate in a class proceeding, to the extent that mandatory arbitration or class-action waivers are unenforceable against consumers under applicable Canadian federal or provincial law.

18.6 Consumers in Brazil. Where you are a consumer in Brazil, nothing in this Section requires you to submit to arbitration imposed before a dispute has arisen; consistently with the Brazilian Consumer Defense Code, you may pursue your claim through arbitration only if you agree to do so after the dispute arises, and otherwise through the Brazilian courts.

18.7 Consumers in the United Arab Emirates. Where you are a consumer in the United Arab Emirates, nothing in this Section prevents you from filing a complaint with the UAE Ministry of Economy or another competent consumer protection authority, or from bringing a claim before the competent courts of the UAE, under the UAE Consumer Protection Law.

19. Termination and Deletion of the Account

19.1 By you. You may stop using the Platform and delete your Account at any time, either (a) within the Platform, by selecting the “Delete my account” option in your profile settings and confirming by typing the email address registered on the Account, or (b) by writing to dpo@khypri.com from that email address.

19.2 Effect of deletion. On a deletion request, the Account and every Student profile shall be deactivated forthwith, every consent shall be treated as withdrawn, any active subscription shall be cancelled as provided in Section 7.3.2, and your personal data shall be erased following a cooling-off period, as set out in Section 6 of the Privacy Policy and in the Data Retention and Erasure Policy. During the cooling-off period the request may be cancelled and the Account restored on a written request to dpo@khypri.com from the registered email address.

19.3 By the Company. The Company may suspend or terminate your access where you breach these Terms, including the account-integrity and prohibited-conduct provisions above, and shall make reasonable efforts to notify you of the reason where that is feasible.

19.4 Consequences and survival. On termination, your licence to use the Platform and any AI Output shall end. Provisions which by their nature are intended to survive, including Sections 6, 9, 10, 17 and 18, shall remain in effect. Your data shall be handled in accordance with the retention provisions of the Privacy Policy.

20. Assignment

20.1 You shall not assign or transfer your rights under these Terms without the Company's consent. The Company may assign these Terms in connection with a merger, acquisition or sale of substantially all of its assets, provided that the assignee agrees to honour the commitments made in these Terms and in the Privacy Policy.

21. General Provisions & Statutory Hierarchy

21.1 Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

21.2 Entire agreement. These Terms, together with the Privacy Policy, the Safety Policy and the supporting policies to which these Terms link, constitute the entire agreement between you and Khypri AI in relation to their subject matter.

21.3 No waiver. A failure by the Company to enforce a provision of these Terms is not a waiver of that provision.

21.4 Amendment. The Company may update these Terms from time to time. A material change shall be reflected by updating the effective date and version above and, where required by law, shall be communicated directly to affected users.

21.5 Statutory Hierarchy & Conflict Harmonization. Where any provision of these Terms or linked policies appears to conflict with applicable law, or where multiple statutory acts apply concurrently, non-waivable statutory duties under criminal, child safety, and electronic evidence laws (POCSO Act 2012, BNS 2023, BNSS 2023, BSB 2023) shall take legal precedence over routine data erasure requests pursuant to Section 8(7) of the DPDP Act 2023. Digital payment processing adheres strictly to Reserve Bank of India (RBI) e-mandate regulations under the Payment and Settlement Systems Act 2007, and India's DPDP Act 2023 baseline governs all family accounts.

22. Contact & Statutory Grievance Redressal

22.1 Contact & DPO. Questions about these Terms may be sent to support@khypri.com. Queries concerning personal data protection shall be addressed to the Data Protection Officer, Debasmita Maharana (or Deputy DPO / Compliance Escalation Team), at dpo@khypri.com. Copyright complaints shall be sent in accordance with Section 16.

22.2 Statutory Grievance Officer (Consumer Protection & IT Intermediary Rules). In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the designated Grievance Officer for consumer, commerce, and intermediary complaints is Debasmita Maharana, Data Protection Officer & Grievance Officer (or Deputy Grievance Officer). Contact: dpo@khypri.com / grievance@khypri.com. All grievances shall be acknowledged within forty-eight (48) hours and resolved within fifteen (15) days of receipt as required by law. Grievances concerning personal data shall also be raised in accordance with the Grievance Redressal Policy.

22.3 Intermediary Due Diligence & Safe Harbour Notice (IT Act Section 79 & BNS 2023). Khypri AI functions as an intermediary under Section 79 of the Information Technology Act, 2000 in respect of user-uploaded files (Vault) and interactive AI tutor sessions. In accordance with Rule 3(1)(b) of the IT Intermediary Guidelines Rules 2021, read with the Bharatiya Nyaya Sanhita, 2023 (BNS Sections 356 [Defamation], 294 [Obscenity], 336/340 [Forgery/Synthetic Impersonation], 318 [Cheating], and 196 [Hate Speech]) alongside legacy provisions of the Indian Penal Code (IPC), users are strictly prohibited from uploading, hosting, displaying, modifying, publishing, transmitting, storing, updating or sharing any information that is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, or contrary to applicable law. The Company reserves the right to disable access to or remove infringing content and suspend or terminate non-compliant accounts to preserve Section 79 safe-harbour protection.

22.4 Law Enforcement & Electronic Evidence Compliance (BNSS 2023 & BSB 2023). The Company cooperates with lawful summons, notices, and orders issued by competent law enforcement agencies and judicial authorities under the Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS). All digital records, logs, and audit entries produced in response to lawful process are certified as admissible electronic records pursuant to Section 63 of the Bharatiya Sakshya Adhiniyam, 2023 (BSB).

22.5 MeitY AI Safety Advisory (2024–2026) AI Identity Disclosure. In compliance with MeitY advisories on artificial intelligence ethics, all interactive AI tutoring features prominently disclose the artificial nature of the entity (*Olli*) and apply digital watermarks to AI-generated synthetic content outputs.

22.6 Statutory Workforce & Labour Compliance. Corporate employment and vendor engagements comply with the POSH Act, 2013, the Code on Wages, 2019, and the Social Security Code, 2020 across all full-time employees, part-time staff, contract workers, retainers, and remote freelancers.
